    In the strategies of war, how does a new regional military power or upstart guerrilla troop solidify their position? They identify their adversaries and eliminated them. How is business any different? The truth is the strategies are identical while the actual elimination process differs. War is fought with bombs and guns, economics is fought by crushing an idea or believe system that perpetuates the money machine behind a company, take away the public believe system based on the concept put out by a company and you’ve eliminated their ability to survive.

    Corporate branding, marketing and all promotion centers around piercing the minds of the public to inject an idea that ultimately triggers them to have an emotional need for your service or product. Few purchase decisions are spontaneous but for those that are it’s a matter of putting making something available with the threat of taking it away.

    When injecting an idea in the mind of the involuntary recipient it must be like a candy coated indigestible as opposed to a spinal tap entry. Smooth and easy as opposed to painful and forced. Some sugar coatings take on the identity of a comedic TV commercial where laughter is the mechanism used to bypass the critical faculty while a sappy emotional segment may work for others.

    The key to obtaining and maintaining one’s position is to identify your immediate competition, deal with them and once this is facilitated move on to the next potential threat. For the immediate competitor one elimination strategy that tends to work regardless of industry is to analyze the regional market in which you find a competitor of equal size who is in direct competition with you and then find his localized upstart or micro competitors and via third party strategically align your agenda with their promotional tactics. Help them to collectively and unknowingly pinpoint and weaken specific products and services that pronounce the actual threat to your company. Phase two is to make yourself known to them via this third party introduction and buy equities in these companies and contractually obligate them to use this capital for designated promotional solutions that will grow that regional company. You want this money to be used to infiltrate the region with your services/products and have the new partners go into their established client base with mailers, phone calls and in person sales calls and introduce your company and solutions to them.

    Your initial competitor will begin to lose traction (assuming they are a public company) and their stock price will begin to fall, you want to begin buying stock in this competing company but not enough to stimulate or increase the share price. A combination of multiple subsidiary elements ganging up on this one particular company in addition to your firm buying equities in a plummeting stock will deliver to you the control you need in order to remove this entity as an obstacle to your growth.

    As the company lessens in market share and comes into a new phase of financial hardship, help the process along by now adding the sell/buy process to damage their stock that much more (obviously, before initiating this phase talk to legal counsel for advice).     When taking your company from strictly a regional or domestic entity and trasnfering your energies into an international formula there are 4 basic elements that you should take into consideration before doing anything: corporate infrastructure, brand, distribution and capitalization.

    Corporate infrastructure as far as management, divisions, subsidiaries etc are the first step to planning your expansion. First, cut the dead weight. Management must re-interview for their jobs, divisions and subsidiaries will be eliminated, merged or kept as is. Take into consideration the need for minimal input and maximum output. Where are your highest profit margins, what employees offer the most expertise for the least financial outlay? Make sure that your corporate structure is conducive to scalability and is streamline enough to be considered ‘lean and mean’ in every sense of the term.

    As far as your corporate brand you’ll take the foundation you’ve constructed up to the present and infuse it with a plethora of strategic alliances both inter-industry and outside of your immediate industry. Piggyback off of the successes of partners, team up on announcements using various press release and news release vehicles and make it every executives job to be on the lookout for ways to merge and create relationships with other companies with the same goals.

    Just as with your corporate infrastructure your distribution process should be perpetuated and expanded with minimal input and maximum result. The best way to do this is to create tight strategic partnerships at both the corporate and legislative levels. Teaming up with companies that are already established distribution mechanisms in the global marketplace and creating win/win situations will make growth via alliances quick and easy. Offer them an exclusive distribution on a new cutting edge widget or service that your company is offering. Offer them some free promotion by including them in your media package or publicity submissions. At the legislative level this is most important in industrializing nations such as China, India and western Europe. In these regions politicians act as powerbrokers for commerce and getting in with them can be vital to creating long lasting and profitable localized strategies and relationships.

    Lastly, capitalization is the most crucial of all elements because without it, none of the above can be facilitated. Maximizing profitability without sacrificing quality, customer services or turnaround time is the name of the game. Cutting costs internally is typically what needs to be done here as well as minimizing marketing and promotional costs by streamlining your efforts with joint promotional ventures and the above described strategic alliances.

    If you’re reading this you are most likely contemplating the possibility of going public or taking your public company global for distribution expansion. While your intentions may be in the right place your company may not be in a position for these types of growth.

    Let’s look at going public. I get calls daily from companies and startups with products ranging from a new shoelace that is going to revolutionize the sneaker industry to underwater gimp costume sowing instructional videos and sometimes, I mean very rarely will I get a cold call from a client that will actually succeed in going public and sustaining a public entity post IPO. Unless you have profits, limited liability and real distribution and scalability, you have nothing at all. Ideas come and go and very few concepts are so revolutionary that they can Google-ize and industry.

    Your industry is actually secondary but the reality is that it should be as ‘recession proof’ as possible. I know what you’re thinking, nothing is recession proof and yes you are partially correct. But your corporation should still be able to operate during a recession and still bring in, no matter how slim, profits during hard times. This is how you will be able to bring in securities back PIPE loans and LOC’s when your stock is trading in minimal volume. I could go on about this point for pages upon pages but I only have 400 words to get my point across so I’ll move on.

    Globalization is an endeavor that should only be taken on once you’ve conquered your own backyard. When you’ve truly dominated your competition in one region you should facilitate and supplement your growth by using your public stock as collateral for controlled liquidation if you go delinquent. Don’t liquidate shares onto the market in order to raise capital for that expansion to China or Japan. Your company should be able to use is liquid proceeds above and beyond operational costs for this growth and at a worst case you would collateralize assets or securities to come up with the rest of the cash needed.

    Most companies that see greener pastures in another country are still two years too early for the expansion. Get an opinion from your corporate and legal advisors then go to your board, bring it to a vote then if the expansion is approved you should bring on a consultant to iron out the kinks and use their contact base to help you grow with as few bumps in the road as possible.

    At the end of the day you should bring on the right people who are completely submerged in the IPO and globalization industry to help guide you during the above processes. If you feel you are ready have a meeting with your C level group of executives and write down the pros and cons for going public or expanding and if the pros out weight the cons, find yourself a turnkey consulting firm and take it from there.

    Investors who are able to achieve higher yields on their investments take a different approach to growing their portfolio than most. Of course they use a broker and/or investment adviser for information on transactions but will typically make their investment decisions based off of their own collective research.

    The reality is the few that have gained a comprehension for seeking out and getting involved with trades that open the floodgates to massive profits use their own money and operate as part of a small, tight knit group. The members of this ‘group’ always have their feelers out like tentacles sucking up and analyzing potential transactions, immediately looking for strategic elements and immediately dumping 99% as they don’t meet the criteria.

    Two major components that professional investors who use their own money and are able to consistently pick winning transactions are companies that are in merger and/or acquisition mode and companies that are seeking seed capital specifically to go public.

    Let’s focus on the latter. Companies seeking seed capital to go public are often financially viable companies with modest liquidity but are taking on seed investors so that they can meet the SEC minimum criteria of having 40 investors on the books to qualify for going public. Investors that are able to, literally, make millions per transaction have a way of getting into these opportunities by connecting with consultants who take companies public. If you are able to get involved with these consulting firms and if you have some capital to designate as a seed investor, you can literally be placed in 4,5 or even 6+ pre IPO investments per year. When you are one of the 40 investors in a pre public OTCBB corporation you are usually investing seed capital at a fraction of the future public price. The difference between what you pay for the seed stock and what the company charges per share when public is the profit.

    It isn’t at all out of the ordinary to buy seed stock at 50 cents and have that stock gain in value of $1.00 to $1.50 when the company goes public and yes, you just made 50 cents to $1.00 net profit on each share (note: seed prices and opening prices vary). The great thing is you can often invest as a seed investor with as little as $5,000 to $10,000. If you have more capital you can spread it out over multiple pre-IPO opportunities.     I am constantly getting calls from CEOs of public companies whose stock has plummeted to the point of no rebound. When I ask them what promotional or investor relations strategies they have in place to support their per share price goal, there is always silence on the other end of the line. It’s shocking to me that a well pedigreed executive can move up through the corporate ranks from executive to VP and to CEO and not have a clue as to how to run a public company properly.

    For executives reading this, you obviously are doing the necessary due diligence required to initiate a strategic plan and keep your volume trading. As a global strategies consultant, typically, by default, I have to take a company public in order for them to meet their growth requirements as designated by their board of directors.

    If you are going public on the OTCBB (Over The Counter Bulletin Boards) for example, you’ll want to start general corporate branding pretty heavy when the S1 comments stage is completed. You’ll want to take advantage of viral media such as but not limited to: video, unique article submission, press releases, social and news bookmarking and don’t forget the Linkedin, Myspace, Facebook and Twitter. The collective combination of promotional genres in the above will give you the initial foundation to start your Investor Relations campaign post public.

    Keep in mind you want to promote your company in a general fashion as opposed to stepping into a gray area which the SEC would consider outside of securities compliance. Next, about two weeks after your viral crusade has been initiated, phase two would be using traditional tactics for publicity, mainly TV, radio and inter industry periodicals. These promotional mediums should ring with the ‘expert’ theme. You’ll have your publicist solicit the editor, writer, journalist, etc and get you a seat on an expert panel to discuss the hot topics that have to do with your industry. It’s not a company advertisement, it’s better. You are demonstrating your high level of expertise and throughout the gig they are referring to you in name and as the CEO of XYZ Inc.

    Now, after your market maker has filed form 211 and FINRA has issued a trading symbol, this is when the real work begins. Don’t hire an investor relations service, hire a full service IR strategies consultant. It may sound like the same thing but believe me, the difference is night and day. A strategist has a massive portfolio of contacts to create your market quick and get your stock trading. You don’t want pump and dump, email/newsletter promoters, if you hire one then you’re a chump and you deserve the failure that you’re sure to experience. You’ll be sucked into the black hole of no return faster than you can say pink sheets (By the way, if you’re going public don’t even waste your time with pink sheets. Serious investors will never buy and hold that Wild West stock).

    The basic strategy your consultant will put in place will be a combination of phone room promotion to market makers and investors to announce your stock and give verbal presentations in a non pushy manner (with a phone room you just want to have a friendly voice that gives free information and then tell them to check out the stock and call their broker or you can introduce them to one but don’t hire a boiler room as that’s the kiss of death to any new public entity). Next you want to email announcements to your pre public investor base and industry insiders to get the hype machine going. Get people talking about your stock, potential acquisitions, your new product or service, a new strategic partner you’ve signed with, a new distribution channel, anything, just get them talking about you. You’ll also want to keep your viral and traditional publicity mechanisms in place. Write press releases announcing the above and have your consultant and/or publicist start pushing them to major journals, newspapers and high traffic blogs and websites and always make yourself available for comments and/or questions. With all of your promotional properties you must get in the habit of collecting email addresses and contact info and on a weekly basis a chunk of your advertising budget must go toward snail-mail post card promotion, phone call meet and greets and email updates.

    The above is a very basic intro or Investor Relations 101 to help you start putting a strategy together or at the very least it will help you interview investor relations strategies consultants in an intelligent and informed manner.
